Terms of Service

The parties

These Terms of Service (the "Terms") govern the website services provided by Zero Backlog LLC, doing business as shokuweb ("shokuweb," "we," "us," or "our"), to the business purchasing those services (the "Customer"). By purchasing the services, the Customer accepts these Terms. Any person acting on behalf of the Customer represents that they are authorized to bind that business.

1. Website previews

We may prepare sample websites using publicly available business information or materials provided to us. Uncommissioned previews are unofficial proposals and do not imply the relevant business's approval or endorsement. The creation or receipt of a preview does not create an obligation to purchase.

Previews are provided for evaluation. We may modify, restrict access to, or remove an unpurchased preview at our discretion.

2. Services

The service includes publication and hosting of the Customer-approved website, a security certificate, monitoring, maintenance, and updates to existing website content during the paid subscription term. Content updates include changes to business details, text, and images. New functionality, custom development, and work outside that scope are subject to a separate agreement and additional fees.

The Customer is responsible for reviewing and approving its website and providing accurate information and any materials or access reasonably required to deliver the service.

3. Fees, payment, and renewal

The subscription fee is USD 299 per year, payable by card at purchase. Applicable taxes and separately agreed charges may be added.

Subscriptions begin on the purchase date and automatically renew for successive one-year terms unless cancelled before renewal. The Customer authorizes us and our payment provider to charge the payment method on file for the subscription and any agreed recurring charges.

Price changes take effect at the first renewal following notice to the Customer, subject to applicable notice requirements. The Customer is responsible for maintaining valid payment details.

4. Domain names

Domain registration and renewal are included where the registrar's annual price is below USD 25. Other domains are charged separately at the amount disclosed before purchase and renew annually on the website subscription's renewal date.

Domains registered through us are registered in the Customer's name. The Customer must provide accurate registration information. Registration, renewal, and transfer are subject to applicable registrar and registry requirements. A newly registered domain cannot be transferred to another registrar until 60 days after its registration.

The website subscription and a separately billed domain may be cancelled independently.

5. Cancellation and discontinuation

The Customer may cancel by emailing contact@fasttweb.com. Cancellation prevents the next renewal and takes effect at the end of the paid subscription term. Except as otherwise provided in these Terms, the website remains available for the remainder of that term.

Payments are non-refundable, including for unused portions of a subscription, except where required by applicable law.

After the service ends, a domain remains registered in the Customer's name for the remainder of its paid registration period. On request, we will provide the information or assistance required to transfer it, subject to applicable registrar and registry requirements. The Customer may also request a copy of the content it supplied. Website code, designs, and templates are not transferred.

If we discontinue the service, affected Customers will be notified before their websites are taken offline.

6. Content and intellectual property

The Customer retains its rights in content it supplies and grants us a non-exclusive license to use, reproduce, adapt, and display that content as necessary to provide the service. The Customer represents that it has the rights and permissions required for that use and is responsible for the accuracy and legality of its website content.

We retain our rights in the website code, designs, templates, tools, and other materials we develop or provide. The subscription permits the Customer to use the hosted website during the paid term; it does not transfer ownership of those materials. Third-party materials remain subject to their applicable licenses.

7. Acceptable use and suspension

The service may not be used for unlawful, fraudulent, misleading, or infringing content or activities. We may suspend or remove a website for such use or for non-payment. Suspension or removal on these grounds does not entitle the Customer to a refund, except where required by law.

8. Disclaimer of warranties

To the fullest extent permitted by law, the service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant uninterrupted or error-free operation or any particular search ranking, traffic level, sales, or other business outcome. Nothing in these Terms excludes a warranty or obligation that cannot lawfully be excluded.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the service will not exceed the fees paid by the Customer to us in the twelve months preceding the event giving rise to the claim.

We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data. These limitations apply regardless of the legal basis of the claim, but do not exclude or limit liability that cannot lawfully be excluded or limited.

10. Text messaging

The shokuweb text messaging program sends a business owner who asks for it the link to the website we built for their business and its claim code, and answers the texts they send us. Owners opt in with the optional texts checkbox on shokuweb.com/build, or by saying yes on a call with us after hearing the program's terms; shokuweb.com/sms describes the program, both ways to opt in and sample messages. Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchase.

Reply STOP to opt out or HELP for help. Support is also available at contact@fasttweb.com. Carriers are not liable for delayed or undelivered messages. Our Privacy Policy, shokuweb.com/privacy, describes the handling of mobile information and messaging consent.

11. Changes to these Terms

We may revise these Terms from time to time. The date above identifies the latest revision. Revised Terms apply to existing subscriptions from the first renewal following publication, subject to any notice requirements under applicable law.

12. Governing law and contact

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Mandatory rights under applicable law remain unaffected.
